Frequently asked questions
We don't have a director in Russia. How does the General Director service work?

We provide a TaxWell partner as nominal General Director under a formal mandate agreement. The mandate defines what the General Director can and cannot do without prior client approval — typically signing operational documents yes, material contracts above a threshold require client sign-off. The arrangement is documented and the foreign parent retains full control over strategy and major decisions.

We're a German company trying to exit Russia. What are our options?

German and other EU companies face the mandatory 60% discount on asset sales plus a 35% exit contribution — effectively receiving around 26% of market value. The main alternative is an intragroup transfer to a UAE or Turkish subsidiary, which still requires Government Commission approval but allows the group to retain the Russian business under a friendly-jurisdiction owner. See our detailed guide for EU companies in Russia 2026.

How quickly can you review a commercial contract?

For standard commercial agreements (supply, services, NDA): typically 3–5 business days for a written review with marked-up comments and a risk summary. For complex M&A or shareholders' agreements: 1–2 weeks. Urgent requests can be accommodated — please flag when you contact us.

Can you help with employment disputes in Russia?

Yes. Russian labour law strongly favours employees — wrongful dismissal claims are common and courts typically side with employees in procedural disputes. We handle pre-dispute advisory (how to structure a lawful dismissal), representation in the labour commission (комиссия по трудовым спорам) and court proceedings. Early engagement before a dispute escalates is strongly recommended.

Do you coordinate with international law firms?

Yes. For complex cross-border transactions — M&A, restructuring, multi-jurisdiction corporate — we work alongside the client's international counsel, handling the Russian law elements while coordinating with UAE, Turkish, Chinese or EU lawyers on the broader structure. We have established relationships with law firms in key partner jurisdictions.
