Every Russian limited liability company (ООО) must have a legal address — the registered location of its executive body. For foreign-owned companies, finding and maintaining a compliant address is a practical first step that many underestimate. The FTS actively checks whether companies actually operate at their registered addresses, and a "mass address" or unverifiable address can block registration, trigger FTS inquiries, or result in the company being struck off the register. This guide covers the options and the risks for 2026.

What the legal address is and why it matters

The legal address (юридический адрес) is the registered location of the company's permanent executive body — in practice, the CEO or general director. It is recorded in the Unified State Register of Legal Entities (ЕГРЮЛ) and is publicly accessible. All official correspondence from the FTS, courts, counterparties and government bodies is sent to this address — if it is incorrect or unmanned, the company misses critical notices.

The address also determines the company's tax registration office (ИФНС), which matters for tax reporting, VAT recovery inspections and, in the event of a field audit, which inspectorate conducts it.

The main options

The mass address problem

A "mass address" (массовый адрес) is an address where the FTS has registered many companies — typically a building used as a mass registration hub with no real tenants. The FTS maintains a public register of mass addresses and will refuse to register a company at a known mass address, or will flag an existing company using one for additional verification.

The FTS can mark a company's address as "unreliable" (недостоверный) if:

The address is listed as mass;

A site inspection finds no company activity at the address;

The owner of the premises files a statement that they have not consented to its use for registration;

The company does not respond to FTS inquiries sent to the address.

An "unreliable address" flag in ЕГРЮЛ is publicly visible to counterparties and banks, and can lead to account restrictions and ultimately to the involuntary exclusion of the company from the register. Foreign-owned companies using address services should verify that the provider's address is not on the mass address list before signing up.

Documentation required

For registration with the FTS, the address must be supported by:

A guarantee letter (гарантийное письмо) from the owner of the premises confirming consent to registration;

A copy of the ownership title document (выписка из ЕГРН or свидетельство о праве собственности);

Where relevant, the lease or address services agreement.

If the registration is at an apartment (director's home address), consent of all co-owners and residents may be needed in some cases. For commercial addresses, the FTS may call the address provider to verify that the company is actually known to them.

Changing the address

An address change requires filing a form Р13014 with the FTS at the new address. From 2022, the FTS also introduced a 20-day waiting period for address changes to jurisdictions outside the company's current region (to prevent "jurisdiction shopping" to avoid field audits). The change takes effect in ЕГРЮЛ after registration, typically within 5 working days.

The FTS inspectorate at the registered address is the one that conducts any field tax audit. Companies with certain risk profiles sometimes consider address jurisdiction when structuring — inspectorates vary in activity levels. From 2026, the FTS has also received authority for cross-regional desk audits, which reduces but does not eliminate the significance of address jurisdiction for field audits.

Ensure the address provider issues a proper guarantee letter and sub-licence agreement with a forwarding commitment for official mail

If using an address service, set up a reliable mail-forwarding arrangement — missed FTS notices are a common cause of unexpected problems

Plan to transition to a real office address once the business is established — it reduces FTS risk and is expected by most serious counterparties and banks

Update the address in ЕГРЮЛ promptly when offices move — operating from an address that differs from the registered one is technically a violation
